Last Updated: October 27, 2026

1. Introduction & Agreement to Terms

Welcome to Cadential. These Terms of Service (“Terms”) constitute a binding legal agreement between you (“you” or “User”) and Cadential LLC, a Connecticut limited liability company (“Cadential,” “we,” “us,” or “our”).

These Terms govern your access to and use of our website (cadentialgigs.com), platform, applications, and any associated services (collectively, the “Service”).

BY REGISTERING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICE.

2. Eligibility & Accounts

  • Age Requirement: You must be at least 18 years of age to create an account, access, or use the Service. By registering an account, you represent and warrant that you meet this age requirement.
  • Account Information: You agree to provide accurate, current, and complete information during registration and to keep your profile and account information up to date.
  • Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@cadentialgigs.com if you suspect unauthorized access or any breach of security.
  • Unauthorized Accounts: You may not impersonate any person, artist, band, venue, or organization, nor create accounts for fraudulent, deceptive, or abusive purposes.

3. Nature of the Service & Service Modifications

  • Directory & Connection Only: Cadential is a software communications and discovery platform designed to help independent musical artists, performers, venues, community spaces, and organizers discover one another, submit connection requests, and coordinate potential live music, rehearsal, or space rental opportunities.
  • Service Modifications & Availability: Cadential reserves the right to modify, update, suspend, rate-limit, or discontinue any feature or aspect of the Service at any time, with or without notice.
  • Pricing & Fees: Access to certain features of the Service may be offered free of charge or subject to fees. Cadential reserves the right to introduce premium features, subscription plans, or service fees at any time, subject to prior notice before any charges apply.

4. No Agency, Employment, or Broker Relationship

CADENTIAL IS NOT A BOOKING AGENCY, TALENT AGENT, EMPLOYER, PROMOTER, VENUE OPERATOR, OR INSURER.

  • Cadential does not represent musicians or venues in any representative, fiduciary, or agency capacity.
  • Cadential is not a party to any contract, performance booking, rehearsal agreement, or space rental formed between users.
  • Any agreement, booking, financial compensation, or arrangement between a musician and a venue is solely between those independent parties.

5. Connection Requests, Communications, and Status Tracking

  • Administrative Communication Tools: Platform communications, status labels, messages, and interaction indicators within the Service are provided solely for convenience and organization. They do not constitute binding legal contracts, performance guarantees, or assurances of financial compensation.
  • User Contact Sharing: Cadential reserves the right to control how and when user contact information is displayed or shared on the platform to prevent misuse and maintain security.
  • Independent User Responsibilities: Users are solely responsible for all direct interactions, agreements, and arrangements made with other users, including:
    1. Negotiating and executing any formal contracts, performance riders, or lease terms.
    2. Establishing cancellation, rescheduling, sound check, equipment, and logistical terms.
    3. Managing all financial transactions, deposits, payments, tax withholdings, and tax reporting directly between one another.

6. Physical Safety, Live Venue Risks & Off-Platform Interactions

  • Independent Vetting: Cadential does not perform background checks, verify the identity of every user, inspect physical premises, or verify safety conditions, acoustics, fire exits, capacity limits, or neighborhood zoning. Cadential makes no guarantees, representations, or warranties regarding any user, venue, or physical location.
  • Assumption of Risk: You voluntarily assume all risks arising from or relating to your access to and use of the Service, including interactions with other users, connection requests, in-person meetings, performances, rehearsals, venue visits, and events arranged through the Service. These risks include, but are not limited to, personal injury, property damage or loss, equipment theft, cancellations, and disputes with other users. You are responsible for evaluating these risks and taking reasonable precautions to protect yourself and your property.
  • Insurance: Venues and performers are solely responsible for securing appropriate insurance.

7. Music Licensing & Copyright Responsibilities

  • Public Performance Rights: Performing musical compositions publicly often requires licenses from Performing Rights Organizations (PROs, such as ASCAP, BMI, SESAC, or GMR). Cadential does not provide, monitor, or pay for public performance licenses. It is the sole responsibility of venues and performers to ensure that proper licensing is in place for live performances.
  • User Content Warranty: By uploading music samples, stage names, photos, logos, or bios, you represent and warrant that you own or possess all necessary intellectual property licenses, permissions, and rights to distribute that material.

8. User Conduct & Platform Integrity

You agree that you will not:

  1. Impersonate any musician, band, venue owner, or authorized representative.
  2. Submit fraudulent gig opportunities, fabricated venue listings, or unsolicited commercial spam.
  3. Circumvent platform anti-spam rate limits, connection limits, or user blockings.
  4. Harass, threaten, stalk, or discriminate against any performer, venue staff, or user.
  5. Scrape, crawl, harvest, or extract data from the Service using automated bots, scripts, or spiders without express written permission.
  6. Reverse-engineer, decompile, or attempt to extract the source code or platform secrets of Cadential.

Cadential reserves the right, in its sole discretion, to reject, suspend, or terminate any account or listing at any time for violation of these standards or platform security.

9. User Content License

You retain all copyright and ownership rights to the photos, audio, videos, text, and other materials you post (“User Content”).

However, by submitting User Content to Cadential, you grant Cadential LLC a non-exclusive, worldwide, royalty-free, transferable license to host, display, reproduce, adapt, and distribute your User Content solely to operate, promote, and provide the Service (for example, displaying your artist bio or venue photos to prospective collaborators).

Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
  • Class Action & Jury Trial Waiver: YOU AND CADENTIAL LLC AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR CADENTIAL SHALL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS IN A REPRESENTATIVE CAPACITY. YOU ALSO WAIVE ANY RIGHT TO A TRIAL BY JURY.

Unless otherwise stated, changes will become effective when posted on the Service. For material changes, Cadential will provide reasonable advance notice where practicable. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

  • No Waiver: No failure or delay by Cadential in exercising any right under these Terms shall constitute a waiver of that right.
